Terms of Service

Naidis ("the Software") is operated by osb ("we", "us", "our"). By downloading, installing, or using the Software, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software.

1. Service Overview

Naidis is a local-first Obsidian plugin that provides AI-powered knowledge management, content extraction, and productivity features. The Software operates as a freemium subscription service with a Free tier and a paid Pro tier.

2. License Grant

2.1 Free Tier

You may use Naidis Free at no cost, subject to the usage limits described on our pricing page.

2.2 Pro Subscription

Upon subscribing to Pro, you receive a non-exclusive, non-transferable license to use all Pro features on all devices you personally own, for the duration of your active subscription.

2.3 Restrictions

You may not:

• Redistribute, sell, or sublicense the Software
• Reverse engineer or decompile the Software (except naidis-core which is MIT licensed)
• Share or transfer your Pro subscription to another person
• Use the Software for illegal purposes

3. Open Source Components

Naidis consists of two parts:

• naidis-core: Licensed under MIT License (open source)
• naidis-app (Obsidian plugin): Proprietary (requires Pro subscription for full features)

The MIT-licensed components may be used freely under their respective license terms.

4. Pricing, Payment, and Billing

4.1 Pricing

Current pricing is listed on our pricing page. All prices are in USD.

4.2 Payment Processor

Payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. By purchasing a subscription, you also agree to Paddle's Terms of Use and Privacy Policy. Paddle handles all billing, invoicing, sales tax, and payment processing on our behalf.

4.3 Subscription Billing

• Pro subscriptions are billed on a recurring basis (monthly or yearly), depending on the plan you select.
• Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
• You will be charged the applicable subscription fee at the beginning of each billing cycle.

4.4 Price Changes

We may change subscription prices. Existing subscribers will be notified at least 30 days in advance. Price changes take effect at the start of the next billing cycle after the notice period.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You retain access to Pro features until the end of your current billing period.
• Your subscription will not renew, and you will not be charged again.
• Your account will revert to the Free tier after the billing period ends.

To cancel, use the subscription management link in your Paddle receipt email, or contact [email protected].

5.2 Refunds

We offer a 14-day money-back guarantee on all new subscriptions. If you are not satisfied, contact [email protected] within 14 days of your initial purchase for a full refund. Refunds are processed by Paddle.

Refunds are not available for renewal charges. If you do not wish to be charged for the next billing cycle, cancel before the renewal date.

6. Free Trial

We do not offer a free trial. Instead, the Free tier is available indefinitely with limited features, allowing you to evaluate the Software before subscribing to Pro.

7. Data and Privacy

7.1 Local-First

All user data is stored locally on your device. We do not collect, store, or have access to your notes, highlights, or personal content.

7.2 Subscription Verification

The only data transmitted to our servers is subscription verification (subscription ID validation). No content data is ever transmitted.

7.3 Payment Data

Payment and billing data is collected and processed by Paddle, not by us. See our Privacy Policy for complete details.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Updates

We may update the Software periodically. Updates to the current major version are included in your subscription at no additional cost.

11. Termination

We may suspend or terminate your access to the Software if you violate these Terms. Upon termination, you must stop using Pro features. The Free tier may remain available at our discretion.

12. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be communicated via email or in-app notification at least 14 days before taking effect.

13. Governing Law

These Terms are governed by the laws of the Republic of Korea. Any disputes shall be resolved in the courts of the Republic of Korea.
